• Not a Registered Advisor: Caldrion LLC is not a registered investment advisor (RIA) with the United States Securities and Exchange Commission (SEC) under the Investment Advisers Act of 1940, nor is it registered as a broker-dealer, commodity pool operator, or commodity trading advisor. The Firm relies on the "Family Office" exclusion from registration under the Investment Advisers Act.

• Proprietary Capital Only: Caldrion invests solely from its own balance sheet. The Firm does not seek, solicit, accept, or manage third-party capital from the general public, institutional investors, or any individuals or entities other than "family clients" as defined by applicable law.

C. Private Credit & Real Estate
Private credit and real estate strategies involve significant credit risk, illiquidity, and sensitivity to interest rate fluctuations. There is no guarantee that the Firm’s underwriting standards will prevent loss of principal.

4. Submission of Opportunities (No Confidentiality)
Caldrion actively reviews investment opportunities submitted by intermediaries, brokers, and founders for its own account. However, by submitting any business plan, confidential information memorandum (CIM), or financial model to Caldrion (via email or through this website), you acknowledge and agree that:

• No Confidentiality (Unless Signed): Unless and until a specific Non-Disclosure Agreement (NDA) is executed by an authorized signatory of Caldrion, any materials submitted may not be treated as confidential.

• No Obligation: The submission of materials does not create a contract, partnership, or obligation on behalf of Caldrion to review, fund, or respond to the submission.

• Competition: Caldrion reviews a high volume of opportunities. The Firm may already be examining, or may in the future examine, opportunities that are similar or competitive to the one you submit.
